Terms of Use
Last updated: August 24, 2026
1. Acceptance of these terms
These Terms of Use ("Terms") govern your access to and use of Boinky, an AI assistant operated by Highstack ("Highstack", "we", "us"). By installing Boinky into a workspace, by sending a message to Boinky, or by otherwise using the service, you agree to these Terms. If you do not agree, do not use Boinky.
If you are using Boinky on behalf of an organisation, you confirm you have authority to bind that organisation to these Terms, and "you" refers to both you and that organisation. Where Highstack has signed a separate written agreement with your organisation, that agreement takes precedence over these Terms to the extent of any conflict.
2. What the service is
Boinky is an AI assistant that operates inside chat platforms your organisation already uses, including Slack, WhatsApp and Microsoft Teams. It reads messages addressed to it, and replies using large language models.
Boinky's responses are generated by an AI system and may be incomplete, outdated or simply wrong. They are provided for general informational and productivity purposes only. You must independently verify anything important before relying on it or acting on it. Boinky does not provide professional advice: nothing it produces is legal, financial, tax, medical, or other regulated professional advice, and no professional relationship is created by using it. Do not use Boinky as the sole basis for any decision with legal, financial, safety or health consequences.
3. Accounts and access
Boinky is normally installed into a workspace, team or tenant by an administrator of that organisation. That administrator determines which channels, chats and users Boinky is available to, and is responsible for making sure the installation is authorised and appropriate.
If you use Boinky as a member of an organisation's workspace, your use is also subject to your organisation's own policies and its agreement with Highstack. Your organisation's administrators may enable or disable Boinky, change its configuration, and request deletion of data associated with the workspace. You are responsible for keeping your platform account credentials secure and for activity that takes place under your account.
4. Acceptable use
You agree not to use Boinky to:
- break any law, or infringe anyone's intellectual property, privacy or other rights;
- create or distribute unlawful, defamatory, harassing, hateful, deceptive or sexually exploitative content, or content that facilitates violence or serious harm;
- generate malware, phishing material, or instructions intended to compromise systems or people;
- attempt to extract, copy, reconstruct or expose the underlying models, model weights, system prompts or configuration behind the service;
- circumvent, disable or probe safety controls, usage limits, rate limits or access controls;
- reverse engineer, decompile or disassemble any part of the service, except where such a restriction is prohibited by applicable law;
- submit data you are not permitted to share, including personal data you have no lawful basis to process;
- resell, sublicense or provide the service to third parties outside your organisation without our written consent;
- interfere with the operation, integrity or availability of the service, or use it in a way that places an unreasonable load on our infrastructure.
We may suspend or restrict access without notice where we reasonably believe these rules are being broken or where continued use presents a risk to the service or others.
5. Intellectual property
Highstack and its licensors own all rights in the Boinky service, including its software, models integration, branding, name, logo and documentation. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to use the service while you comply with them, and nothing more. No other rights are granted by implication.
You keep all rights in the content you send to Boinky. You grant Highstack a limited licence to process that content solely to operate and provide the service as described in our Privacy Policy. As between you and Highstack, we make no ownership claim over the output Boinky returns to you; you are responsible for reviewing that output before using it, and for making sure your use of it complies with applicable law and third-party rights. Because AI systems can generate similar output for different users, output is not guaranteed to be unique.
6. Third-party platforms
Boinky operates inside Slack, WhatsApp, Microsoft Teams and other third-party platforms. Those platforms are provided by their own operators under their own terms and privacy policies, and your use of them is governed by those terms, not by these Terms. We do not control those platforms and are not responsible for their availability, behaviour, changes or discontinuation. If a platform changes or withdraws the interfaces Boinky relies on, features may change or stop working.
7. Disclaimer of warranties
The service is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, whether express, implied or statutory. To the fullest extent permitted by law, Highstack disclaims all implied warranties, including merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing or trade usage. We do not warrant that the service will be uninterrupted, secure or error-free, that defects will be corrected, or that any output will be accurate, complete, current, reliable or suitable for your purposes.
8. Limitation of liability
To the fullest extent permitted by law, Highstack will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, goodwill, business opportunity, or loss or corruption of data, arising out of or relating to the service, whether based in contract, tort, negligence, strict liability or any other theory, and whether or not we were advised of the possibility of such damages.
Our total aggregate liability arising out of or relating to the service will not exceed the greater of (a) the amounts you paid to Highstack for the service in the twelve months before the event giving rise to the claim, or (b) one hundred euros (or the equivalent in the applicable local currency). Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, or for death or personal injury caused by negligence.
9. Termination
You or your organisation's administrators may stop using Boinky at any time by removing or uninstalling it from your workspace. We may suspend or terminate access, in whole or in part, at any time — for a breach of these Terms, to protect the service or its users, to comply with law, or if we discontinue the service. On termination, the rights granted to you end immediately. Sections concerning intellectual property, disclaimers, limitation of liability, governing law and any other provision that by its nature should survive will survive termination. Deletion of data following termination is described in our Privacy Policy.
10. Changes to these terms
We may update these Terms as the service evolves or as the law requires. When we do, we will revise the "Last updated" date at the top of this page, and where the change is material we will make reasonable efforts to notify customer organisations. Continued use of Boinky after a change takes effect constitutes acceptance of the revised Terms. If you do not accept them, stop using the service.
11. Governing law
These Terms are governed by the laws of the jurisdiction in which Highstack is established, without regard to conflict-of-law rules. The courts of that jurisdiction have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the service, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
12. General
If any provision of these Terms is held unenforceable, the remaining provisions continue in full force and the unenforceable provision is modified only so far as necessary to make it enforceable. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition or sale of assets. These Terms, together with the Privacy Policy and any separate written agreement with Highstack, form the entire agreement between the parties regarding the service.
